Jamieson Wellness Moves Closer to Kirin Acquisition Vote

Jamieson Wellness is moving closer to a shareholder vote on its proposed acquisition by Japan’s Kirin Holdings, after two major independent proxy advisory firms issued recommendations supporting the transaction.

Institutional Shareholder Services (ISS) and Glass Lewis have both recommended that Jamieson Wellness shareholders vote in favor of the proposed arrangement, under which Kirin would acquire all outstanding Jamieson shares for C$45.75 per share in cash.

The transaction follows a competitive sale process lasting nearly five months. According to Jamieson, its board and special committee determined that the Kirin transaction provides shareholders with immediate cash value at a premium to the company’s trading levels before the strategic review became public.

The acquisition would bring together one of Canada’s largest vitamin, mineral and supplement companies with Kirin, a major Japanese food, beverage and health sciences group. Jamieson’s brands include Jamieson, youtheory, Progressive, Smart Solutions, Iron Vegan and Precision, with products sold in more than 50 countries.

Jamieson shareholders are scheduled to vote on the transaction at a special virtual meeting on September 30, 2026, with the proxy voting deadline set for September 28. The transaction still requires shareholder, court and applicable regulatory approvals. Jamieson has said it expects the transaction to be completed in the fourth quarter of 2026 if the required conditions are satisfied.

What this means for the dietary supplement industry

The proposed acquisition is significant for the global supplement industry because it would combine Jamieson’s established North American vitamin and supplement platform with Kirin’s health-science capabilities and international reach. If completed, the transaction could provide additional resources for Jamieson’s international expansion while giving Kirin a substantially larger platform in the North American consumer health and VMS markets.
